These Terms of Service ("Terms") govern your use of the website at kyccodesystems.com ("the Website"), operated by LLC "KYC CODE SYSTEMS" (EDRPOU 46233690), registered at Ukraine, 03062, Kyiv, Rene Descartes Street, 4/2, office 7 ("we", "us", "the Company").

By using the Website you agree to these Terms. If you do not agree, please do not use the Website.

1. Purpose of the Website

The Website is an informational site describing the Company and the services we offer. It does not sell products or services directly. Any engagement for paid services is governed by a separate written agreement between the Company and the client.

2. No contract formed through the Website

Nothing on the Website constitutes a binding offer. Submitting a contact form, or exchanging email with us, does not by itself create a contract. A contractual relationship arises only when both parties sign a written service agreement.

3. Acceptable use

You agree not to:

  • use the Website to send unlawful, harmful, or misleading content;
  • attempt to disrupt, probe, or gain unauthorised access to the Website or its infrastructure;
  • use automated tools to scrape or overload the Website;
  • copy, republish, or resell content from the Website without written permission.

4. Intellectual property

All text, graphics, logos, and code on the Website are owned by the Company or its licensors and are protected by Ukrainian and international intellectual-property laws. You may view and share links to the Website. You may not reproduce or modify the Website's content without our prior written consent.

5. Third-party links

The Website may link to third-party resources. We do not control those resources and are not responsible for their content or practices. Following a third-party link is at your own risk.

6. Disclaimer

The Website and its content are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including any warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Website will be uninterrupted, error-free, or free of harmful components.

7. Limitation of liability

To the fullest extent permitted by law, the Company is not liable for any indirect, incidental, special, or consequential damages, or for any loss of profits, revenue, or data, arising out of or in connection with your use of the Website. Nothing in these Terms limits liability that cannot be excluded under applicable law.

8. Changes to the Website and the Terms

We may change the Website or these Terms at any time. If we make material changes, we will update the "Last updated" date above. Continued use of the Website after changes take effect constitutes acceptance of the updated Terms.

9. Governing law

These Terms are governed by the laws of Ukraine. Disputes arising out of or in connection with these Terms are subject to the exclusive jurisdiction of the competent courts of Ukraine, unless otherwise required by mandatory law.

10. Delivery of Services

LLC "KYC CODE SYSTEMS" operates exclusively through digital fulfillment. All deliverables—including but not limited to software, source code, documentation, and associated professional services are provided via electronic transmission or cloud-based access. LLC "KYC CODE SYSTEMS" does not provide or ship physical goods. All specific delivery schedules, project milestones, and formal acceptance criteria are governed strictly by the terms set forth in the individual written Agreement or Statement of Work (SOW) executed by both parties prior to the initiation of services.

11. Refund and Termination Policy

Given the bespoke nature of software engineering and development services, standard refunds are not provided.

Engagement termination and financial obligations are governed by the following provisions:

Right of Termination: Either party may terminate the engagement, provided such termination complies with the specific notice periods and terms outlined in the governing project contract.

Final Billing Requirements: Upon cancellation, the Client shall remain liable for the full payment of all work performed, hours logged, and expenses incurred through the effective date of termination.

Contractual Supremacy: All project-specific financial settlements and adjustments are strictly subject to the terms and conditions of the executed agreement between the Client and LLC "KYC CODE SYSTEMS".
